Acceptance of Terms

By accessing aicartel.au or engaging AI Cartel Pty Ltd ("AI Cartel", "we", "us", "our") for services, you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a company or organisation, you represent that you have authority to bind that entity.

These terms are governed by the laws of Victoria, Australia. If you do not agree to these terms, do not use our services.

Our Services

AI Cartel provides AI systems integration, automation, and consulting services for Australian businesses, including but not limited to:

  • AI-powered website development and optimisation
  • Voice agent and chatbot development
  • CRM and pipeline automation
  • Workflow automation using platforms such as Make.com and n8n
  • AI strategy consulting and audits
  • Ongoing support and maintenance of deployed systems

The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work (SOW) or proposal document agreed upon in writing before work commences.

Engagement Terms

Project commencement: Work begins upon receipt of a signed SOW and any agreed deposit payment.

Client responsibilities: You agree to provide timely access to necessary systems, credentials, and information required to deliver services. Delays caused by client unavailability may affect delivery timelines without penalty to AI Cartel.

30-Day Deploy Guarantee: Where stated in your SOW, we commit to deploying the agreed system within 30 calendar days of project commencement, subject to client providing required access and approvals within agreed timeframes.

Revisions: Each project includes a defined number of revision rounds as specified in the SOW. Additional revisions are billed at our standard hourly rate.

Payment Terms

  • Invoices are due within 14 days of issue unless otherwise agreed in writing
  • A deposit (typically 50%) is required before project commencement
  • Late payments accrue interest at 10% per annum from the due date
  • All prices are in Australian Dollars (AUD) and exclusive of GST unless stated otherwise
  • GST will be added where applicable under Australian tax law
  • Disputed invoices must be notified in writing within 7 days of receipt

We reserve the right to suspend services for accounts with outstanding balances exceeding 30 days overdue.

A 50% deposit is required on commencement of all projects. This deposit is non-refundable once build work has commenced. The remaining balance is due on delivery.

Intellectual Property

Client ownership: Upon full payment, all custom-built deliverables (code, automations, configurations) developed specifically for your project are assigned to you. You own your AI systems.

AI Cartel IP: We retain ownership of our proprietary frameworks, methodologies, templates, and tools used in delivering services. These may be reused across client engagements.

Third-party tools: Systems built using third-party platforms (Make.com, n8n, Vapi, etc.) are subject to those platforms' terms of service. AI Cartel is not responsible for changes to third-party platforms.

Portfolio rights: Unless you request otherwise in writing, we reserve the right to reference your company as a client and describe the general nature of work delivered in our portfolio and marketing materials, without disclosing confidential business information.

Data & Confidentiality

Both parties agree to:

  • Keep confidential all non-public information shared during the engagement
  • Not disclose confidential information to third parties without prior written consent
  • Handle all personal data in accordance with the Australian Privacy Act 1988

Confidentiality obligations survive termination of any engagement for a period of 3 years. Refer to our Privacy Policy for full details on how personal data is handled.

Warranties & Disclaimers

AI Cartel warrants that services will be delivered with reasonable skill and care in accordance with the agreed SOW.

We do not warrant that:

  • AI systems will be error-free or uninterrupted
  • Results (revenue increases, lead generation, cost savings) will meet specific targets — these depend on many factors outside our control
  • Third-party AI platforms (OpenAI, Google, Meta, etc.) will maintain their current functionality or pricing

Our website and marketing materials contain descriptions of expected outcomes based on industry experience. These are illustrative examples, not guarantees.

Limitation of Liability

To the maximum extent permitted by Australian law:

  • AI Cartel's total liability for any claim arising from a project will not exceed the total fees paid for that project
  • We are not liable for indirect, consequential, incidental, or special damages, including lost profits or business interruption
  • We are not liable for issues arising from client-provided content, data, or third-party platform outages

Nothing in these terms excludes liability for fraud, personal injury caused by negligence, or any liability that cannot be excluded under Australian Consumer Law.

Termination

By client: You may terminate an engagement with 14 days written notice. Fees for work completed to date of notice are due and payable. Deposits are non-refundable.

By AI Cartel: We may terminate an engagement immediately if: payment is overdue by more than 30 days, you breach these terms, or continued engagement would require us to act unlawfully.

Upon termination, each party will return or destroy the other's confidential information, and AI Cartel will provide any deliverables completed and paid for to date.

Governing Law

These terms are governed by the laws of Victoria, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Victoria. Before initiating formal proceedings, parties agree to attempt resolution through good-faith negotiation for a minimum of 30 days.

Changes to Terms

We may update these terms periodically. The updated date at the top of this page reflects the most recent revision. We will notify active clients of material changes via email. Continued use of our services after changes take effect constitutes acceptance.
